By accessing or using Invoice Detective (“the Service”), operated at invoicedetective.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.
2. Description of Service
Invoice Detective is an AI-powered invoice-to-payment reconciliation tool designed for small businesses. The Service allows you to:
- Upload invoices and bank statements (CSV and PDF formats)
- Automatically match invoices to corresponding bank payments using AI algorithms
- Review, confirm, or reject suggested matches
- Detect batch payments, fuzzy references, and complex payment patterns
3. Accounts
- Account creation and authentication is managed through Clerk
- You must be at least 18 years old to use the Service
- Each person may maintain only one account
- You are responsible for maintaining the security of your account credentials
- You must provide accurate and complete information when creating your account
4. Acceptable Use
You agree to:
- Only upload documents that you own or have authorization to process
- Not use the Service for any illegal activities
- Not attempt to gain unauthorized access to other users' data
- Not interfere with or disrupt the Service or its infrastructure
- Not use automated tools to scrape, crawl, or extract data from the Service
- Not upload malicious files or content
5. Data Ownership
- Your data: You retain full ownership of all invoices, bank statements, and financial data you upload to the Service
- Limited license: By uploading documents, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the reconciliation service
- We do not claim ownership of your data and will not use it for purposes other than delivering the Service
- You may request export or deletion of your data at any time
6. Intellectual Property
The Service, including its source code, matching algorithms, user interface, branding, and documentation, is the intellectual property of Invoice Detective. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.
7. Subscriptions and Payment
- The Service offers various subscription tiers with different feature sets and usage limits
- Pricing is displayed on our website and may change with notice
- Subscriptions renew automatically unless cancelled before the renewal date
- Refunds are handled on a case-by-case basis; please contact support for refund requests
8. Service Availability and Accuracy
- We strive to maintain high availability but do not guarantee uninterrupted access to the Service
- AI-generated results are suggestions: The matching results produced by our AI algorithms are recommendations, not definitive accounting conclusions
- You are responsible for verifying and confirming all matches before relying on them for accounting or tax purposes
- We do not guarantee 100% accuracy of invoice-to-payment matching
- The Service is not a substitute for professional accounting advice
9. Limitation of Liability
To the maximum extent permitted by law, Invoice Detective and its operators shall not be liable for:
- Any indirect, incidental, special, or consequential damages arising from your use of the Service
- Financial losses resulting from incorrect matches or reconciliation errors
- Data loss due to technical failures
- Service interruptions or downtime
Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Invoice Detective, its operators, and affiliates from any claims, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Documents you upload to the Service
11. Termination
- You may terminate your account at any time by contacting us at support@invoicedetective.com
- We may suspend or terminate your account if you violate these Terms
- Upon termination, your data will be deleted in accordance with our Privacy Policy
12. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts of the Netherlands.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated terms on this page and updating the “Last updated” date. Your continued use of the Service after changes constitutes acceptance of the updated terms.
